Terms of Sale

Version PD-TOS-2 · Effective October 30, 2026

1. Who and what these terms cover

1.1 Seller. Zachary Backas, doing business as PlyDrop ("PlyDrop", "we"). Contact: hello@plydrop.parts. We may assign these terms and any order to a company we own and control by notice to you.

1.2 Business purchases only. We sell to businesses, schools, research groups and professionals for commercial, engineering, research or educational use, not for personal, family or household use. By ordering, you confirm that is how you will use the parts and that you have authority to bind the organization you order for. If you are buying for personal use, do not order.

1.3 What applies. These terms, the approved drawing and the accepted quote for each order form the whole agreement for that order. Your purchase order, email footer or other terms do not apply, even if we accept your order or do not object to them. If documents conflict, this order applies: (1) a written change we both sign for that order, (2) the approved drawing, (3) the accepted quote, (4) these terms.

1.4 Version. Each order keeps the version of these terms you accepted. Later changes apply only to later orders.

2. Your design and how the part will be used

2.1 You are the designer. You supply or approve the design, dimensions, material, layup, features and tolerances. You decide whether the part is suitable for its use: loads, environment, fasteners, fatigue, temperature, chemical exposure, safety factors, fit with other parts and any regulatory or customer requirement. We build to the approved drawing. We do not review your design for fitness for purpose and have no duty to find errors in it.

2.2 Estimates are not engineering. Prices, calculated thickness, weight, stiffness, strength, laminate properties, comparisons, templates, suggestions and anything produced by our website, calculators, software or AI tools are estimates for convenience. They are not test data, design allowables, engineering approval or a promise that a part will perform. Do not rely on them in place of your own engineering and testing.

2.3 Test before you rely on a property. Material properties we or our manufacturing partner publish are reference estimates only. Where a property matters to your use, you are responsible for having the parts or representative coupons tested by an independent qualified party before relying on them.

2.4 Critical and regulated uses. Unless we agree otherwise in a signed writing for that order, parts are not made, inspected, documented or certified for use where failure could cause death, injury or major property damage, including flight-critical aircraft or spacecraft structure, crewed vehicles, lifting or climbing equipment, pressure-retaining parts, medical devices and protective equipment. We provide no airworthiness, FAA or other conformity certification, AS9100 or similar quality-system certification, first-article inspection report, material certifications or traceability beyond what the order expressly lists. If you use parts in any such application, you do so entirely at your own risk and after your own qualification.

2.5 Your files. You confirm you own or have permission to use everything you upload, and that making the parts will not infringe anyone's rights. You keep ownership of your designs. You give us and our manufacturing partner permission to use your files only to quote, make, inspect, ship and support your orders and to keep order records.

2.6 Export control. Do not upload technical data or order parts controlled under the International Traffic in Arms Regulations (ITAR), or that need an export license under the Export Administration Regulations (EAR), unless we have first agreed in writing that we can handle them. You are responsible for classifying your design and parts and for complying with export, sanctions and import laws for any parts you export, re-export or transfer.

3. Quotes and orders

3.1 Prices. Online prices are for the design exactly as submitted. A price may change if the design, quantity or delivery details change, if a quote expires (normally 30 days) or if our manufacturing partner's file check finds the design cannot be built as quoted. We will tell you before you pay.

3.2 Approval drawing. Before payment, we send an approval drawing (PDF) for your order. Check it carefully. By approving it, you confirm it is correct and complete. Errors in an approved drawing are your responsibility. If we or our partner need to change anything at file check, we issue a new revision for your approval. Nothing is substituted without your approval.

3.3 Acceptance. An order is accepted only when we confirm it in writing after your payment clears. We may decline any order, including one we have already quoted, and will refund any payment for an order we decline. Clear pricing errors may be corrected before acceptance, and you may then withdraw.

4. Payment

4.1 Pay in full upfront. You pay the full order total before production: parts, the shipping maximum (section 6) and applicable tax. Production starts after payment clears.

4.2 Taxes. Prices exclude sales, use and similar taxes, which we add where required. If you claim an exemption, send a valid certificate before payment.

4.3 Payment disputes. If you have a problem with an order, contact us and use the remedies in section 8 first. Do not file a chargeback or payment dispute for an order that conforms to the approved drawing, or while we are performing a remedy. If you file an unfounded dispute, you agree to pay the order price and our reasonable costs of responding, including processor fees.

5. Dates

5.1 Ready date. The order confirmation states the date the parts will be packed and ready to ship (the "ready date"). It moves if you change the order, or if payment clears late, by the same number of days.

5.2 Arrival. Delivery dates are the carrier's estimates. We are not responsible for carrier delays, and they do not entitle you to cancel.

5.3 Late orders. If we miss the ready date, you may wait or cancel any time before the parts are handed to the carrier, and we refund everything you paid for that order within 15 business days. If shipping is waiting on you (your carrier has not collected, or you have not given delivery details or paid a shipping difference), the right to cancel ends 5 business days after we notify you the parts are ready. Cancelling with a full refund is your only remedy for lateness.

6. Packing, shipping and risk

6.1 Shipping maximum. Before you pay, we state one combined maximum for packing, freight and insurance to one destination, with the service and any agreed extras. You pay that maximum upfront. After shipping, if the actual cost is lower, we refund the difference. We never charge more than the maximum without your written approval.

6.2 One shipment. Each order ships as one bundle to one address. Individual marking, bagging or split shipments are not included unless the order says so.

6.3 Risk of loss. When we arrange shipping, risk passes to you on delivery. When your own carrier account is used, risk passes when the parts are handed to your carrier. Title passes when risk does.

6.4 Insurance. Shipments we arrange are insured unless you decline in writing. If you decline, loss or damage in transit beyond the carrier's standard liability is yours. Declining insurance does not affect claims for parts that were made or packed wrong.

6.5 Collection. If parts are ready and you do not arrange or allow shipment within 30 days of our notice, we may charge reasonable storage or treat the order as delivered.

7. Inspection and claims

7.1 On delivery. Inspect parts promptly. Report visible damage, missing items or a mismatch with the approved drawing within 5 business days of delivery, with photos and measurements. Note visible shipping damage on the delivery receipt where you can.

7.2 Hidden defects. Report defects that could not reasonably be seen on delivery within 90 days of delivery, and promptly after you find them.

7.3 Keep the evidence. Keep the parts, packaging and records. Stop using a part that may be unsafe. Do not alter, destructively test or dispose of a part you are claiming for until we agree. A part that has been altered, bonded, painted, installed or damaged in use may be excluded where that prevents us from assessing the claim.

7.4 Late claims. Parts not reported within these periods are accepted and the claim is waived, to the extent the law allows.

8. Limited warranty and your remedies

8.1 What we warrant. For 90 days from delivery, parts will match the approved drawing within the stated tolerances and be free from defects in materials and workmanship.

8.2 What is not covered. Problems caused by your design or specification; use or loads outside what the part was designed for; installation, machining, bonding, painting or other work after delivery; misuse, accident, improper storage or normal wear; cosmetic variation within the approved drawing and our published finish standard; calculated or estimated properties.

8.3 Remedy. For a covered defect reported on time, we will, at our choice, remake the part at our cost (including return and replacement freight on labels we provide) by a date we agree, or refund the price you paid for the affected parts and their shipping. If we do not agree a remake date within 7 business days, or miss it, you may choose the refund instead. Refunds are paid within 15 business days.

8.4 Exclusive remedy. Section 8.3 and the late-order refund in section 5.3 are your only remedies for defective, nonconforming, late or undelivered parts.

8.5 DISCLAIMER. EXCEPT FOR THE LIMITED WARRANTY IN SECTION 8.1, PARTS AND ALL INFORMATION, ESTIMATES, SOFTWARE OUTPUT AND ADVICE ARE PROVIDED "AS IS". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

9. Limits on liability

9.1 CAP. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO AN ORDER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

9.2 NO INDIRECT LOSSES. WE ARE NOT LIABLE FOR LOST PROFITS, REVENUE, PRODUCTION, DOWNTIME, DELAY, LOST DATA, COSTS OF REMOVING, REINSTALLING OR REPLACING PARTS IN ANOTHER PRODUCT, DAMAGE TO OTHER PROPERTY, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

9.3 These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as for our fraud, or for death or personal injury caused by our own negligence where the law does not allow it to be excluded. Prices reflect these limits.

9.4 Time limit. Any claim must be brought within one year after it arises.

9.5 Assumption of risk and release. Composite parts can fail without warning, and we don't control how you design, test, install or use them. You accept all risk of using, installing, testing, selling or relying on the parts and on anything our tools produce. To the fullest extent the law allows, you release PlyDrop, its owner, staff and manufacturing partners from all claims, known or unknown, arising from that use, including claims for injury, death or property damage. You waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release does not cover our fraud, willful misconduct or gross negligence, or anything else the law does not allow to be released.

10. Your responsibility for claims by others

10.1 You will defend, indemnify and hold harmless PlyDrop, its owner, staff and manufacturing partners from claims, losses, damages, fines and costs (including reasonable attorneys' fees) brought by anyone else arising from: your design, specifications, files or instructions; the use, installation, sale or performance of parts or of any product they are part of; any claim that your files or parts infringe someone's rights; or your breach of these terms or of export, sanctions or other laws. This does not apply to the extent a court finds a claim was caused by parts that did not match the approved drawing because of a manufacturing defect we are responsible for.

10.2 You are responsible for insuring your own products and operations, including product liability for anything the parts go into.

11. Confidentiality

11.1 We keep your files and order details confidential and share them only with our manufacturing partner and service providers who need them to quote, make, inspect, ship, take payment for or support your order, under confidentiality obligations. We do not publish your designs or show them as examples without your permission.

11.2 Our pricing, supplier and manufacturing information is confidential. Do not share our quotes with other suppliers for the purpose of working out our costs.

12. Disputes

12.1 Talk first. Before starting any claim, email hello@plydrop.parts with the details. Both sides will try in good faith to resolve it within 30 days.

12.2 Arbitration. Any dispute not resolved under section 12.1 will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by one arbitrator, in Los Angeles County, California. Either party may instead bring an individual claim in small claims court if it qualifies. Claims must be brought individually, not as a class or representative action. Either party may seek a court injunction to protect its intellectual property or confidential information. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

12.3 Law. California law governs these terms, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. General

13.1 Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control, including carrier, supplier or material disruptions, fire, weather, labor action, government action or utility failure. If such an event delays an order more than 30 days past the ready date, either party may cancel the unshipped order and we refund what you paid for it.

13.2 Electronic acceptance and notices. You accept these terms by approving an order online. Notices may be sent by email to the addresses on the order. Messages from automated or AI assistants do not change these terms or an order; only a written change signed by both parties does.

13.3 Other terms. If a court finds part of these terms unenforceable, the rest remains in effect and the affected part is enforced to the maximum extent allowed. Not enforcing a term is not a waiver. Sections that by their nature should survive, including sections 2 and 8 to 13, survive delivery and the end of any order.
